Incorporation of Earlier Contract Terms Can Create Valid Arbitration Agreement: Supreme Court
The Supreme Court has held that when parties adopt or incorporate clauses from an earlier contract into a new agreement, the arbitration clause contained in the previous contract can also become binding.
The Court clarified that a separate or freshly drafted arbitration agreement is not always necessary if the new contract clearly reflects an intention to adopt the terms of the earlier agreement.
Emphasising the commercial practice of incorporating standard clauses by reference, the Court ruled that such incorporation can create a valid and enforceable arbitration agreement between the parties.
The judgment reinforces the principle that intention and contractual language are crucial in determining arbitrability.
