NCLT Mumbai Approves Times Group’s Demerger of Non-Publishing Businesses Into Times Horizon

The NCLT Mumbai has approved Bennett, Coleman & Company Ltd (BCCL)'s plan to demerge its non-publishing verticals into Times Horizon Pvt. Ltd., a wholly owned subsidiary. 

The tribunal observed that BCCL’s publishing and non-publishing divisions have different capital requirements, risks, and regulatory frameworks, making the separation commercially viable. 

NCLT sanctioned the scheme under Sections 230–232 of the Companies Act, 2013, approving the transfer of the non-publishing business to Times Horizon on a going-concern basis, after noting that all equity shareholders and over 90% of unsecured creditors have provided their consent.

The appointed date for the demerger has been set as April 1, 2026.
